Software & Training Terms

These Software & Training Terms apply to the custom software development and platform training services provided by Logix Edge LLC (“Logix Edge,” “we,” “us”) to its clients (“you”). They complement our Terms of Use. If a written proposal or agreement signed with you conflicts with these terms, that proposal or agreement controls.

1. What we provide

Custom software. We develop tools, indicators, and automations for trading platforms based on the specifications and rules that you define and approve in writing.

Platform training. We provide technical training on how to install, configure, and use trading platforms, including how to run historical tests.

2. Your rules, your decisions

You define the trading rules, instruments, position sizes, and risk parameters that the software will follow. Logix Edge does not select, recommend, or validate trading strategies, and does not evaluate whether a strategy is suitable for you.

3. No advice and no account management

Our software and training are technical tools. They are not investment advice, trading signals, or systems to manage money or risk.
We do not place trades for you, do not exercise discretion over any account, and do not hold or manage client funds.
We do not request or keep passwords to your brokerage or funded trading accounts.

4. Testing before live use

You agree to test any software we deliver in a demo or simulated environment before using it with real money. You are responsible for monitoring the software at all times while it is running.

5. Third-party platforms and providers

Trading platforms, brokers, data feeds, hosting services, and funded-account or evaluation programs are third parties. We are not affiliated with them and are not responsible for their outages, errors, rule changes, or decisions. You are responsible for complying with their terms, including any rules on the use of automated software.

6. License and intellectual property

Once full payment is received, you receive a non-exclusive, non-transferable license to use the delivered software for your own trading. You may not resell, sublicense, or distribute it without our written permission. Logix Edge keeps the rights to its pre-existing code, libraries, and know-how, unless a written agreement says otherwise.

7. Fees, payment, and refunds

Fees, payment schedule, and delivery times are set in each written proposal. Because software and training are delivered as digital services, payments are non-refundable once the software has been delivered or the training session has taken place, unless the proposal states otherwise.

8. Support and changes

Support and adjustments are included only for the period and scope stated in the proposal. New features or changes outside the original scope are quoted separately.

9. No guarantee of results

We do not guarantee any trading result. Historical tests and simulations are hypothetical and do not predict future performance. Please read our Risk Disclosure.

10. Limitation of liability

To the fullest extent permitted by law, Logix Edge is not liable for trading losses, missed trades, or damages caused by software errors, platform or broker failures, data errors, connectivity problems, or the way you use the software or training. Our total liability for any claim is limited to the fees you paid for the specific service involved.

11. Your responsibility and local laws

You are responsible for complying with the laws and regulations of your country, including any rules on trading futures, contracts for difference (CFDs), or other leveraged products. CFDs are not available to residents of the United States, and we do not provide services intended to help U.S. residents trade CFDs.

12. Indemnification

You agree to indemnify and hold harmless Logix Edge from any claims, losses, or expenses arising from your use of the software or training, or from your violation of these terms or of third-party rules.

13. Governing law

These terms are governed by the laws of the State of Wyoming, United States, as set out in our Terms of Use.
